How to convert a stl./step/mesh into a 3dm. file or a nurbs model to be able to edite in Rhino

I would like to know how to convert a stl/step/mesh file into a 3dm. file so that I can edit it in Rhino 4.0. I also wonder why most organic models are in a mesh form. are they easier to join or something. I know in Rhino when you model something all your edges have to line up or you get a bunch of naked edges wich means your model is not water tight and to my understanding unable to print it or prototype. Thank you. sorry for long description.

    try to open this step format in NX, Solid works or any other cad software and patch your surfaces first, then use the same file for Rhino...
